SWEEPSTAKES PERIOD: The Kith &amp; Messi for adidas Football Sweepstakes 2026 (the &#x201C;Sweepstakes&#x201D;) begins at 11:00 a.m. Eastern Time (&#x201C;ET&#x201D;) on Friday, May 29, 2026, and ends at 9:00 p.m. ET the same day (the &#x201C;Sweepstakes Period&#x201D;). 2. ELIGIBILITY: The Sweepstakes is open to legal residents of New York, New Jersey and Connecticut who are at least eighteen (18) years old at the time of entry. &#xA0;The Sweepstakes is void where prohibited by law. Directors, employees, officers, and the immediate family (spouse, parents, siblings, children, step-children, grandparent or grandchildren and their respective spouses, regardless of where they reside) and/or household members, whether or not related, of individuals employed by Kith Retail LLC ( &#x201C;Sponsor&#x201D;), adidas AG (&#x201C;Adidas&#x201D;) and F&#xE9;d&#xE9;ration Internationale de Football Association (&#x201C;FIFA&#x201D;), and each of their respective parents, affiliates, subsidiaries, licensees, sponsors, promotional partners, prize suppliers, and advertising and promotional agencies, are ineligible to participate. &#xA0;By participating, entrants agree to be bound by these official rules (&#x201C;Official Rules&#x201D;) and the decisions of Sponsor, which are binding and final on matters relating to this Sweepstakes. &#xA0;The Sweepstakes is subject to all applicable federal, state and local laws, guidelines and policies. 3. TO ENTER: To enter the Sweepstakes, entrants must line up outside the Kith store located at 337 Lafayette Street, New York, New York 10012 during the Sweepstakes Period and show their support for Lionel Messi, by either (i) wearing an official Lionel Messi Adidas soccer jersey, or (ii) carrying official Lionel Messi soccer memorabilia on their person. &#xA0;The Sweepstakes will occur rain or shine. &#xA0;Kith will distribute Sweepstakes entry forms to eligible entrants satisfying either (i) or (ii). Entrants must submit their contact information, i.e. name, phone number and email address, on the Sweepstakes entry form. Limit of one (1) entry per person. &#xA0; 4. SELECTION OF WINNERS: The drawing (&#x201C;Drawing&#x201D;) will be held at the conclusion of the Sweepstakes Period. &#xA0;Two (2) potential winners will be selected at random from among all eligible entries received for the Drawing, and notified by phone at the number provided on their entry forms. If a potential winner cannot be reached by phone, Kith will contact such potential winner by email at the email address provided on their entry form. &#xA0;Potential winners must respond within twenty-four (24) hours of the time Kith sent its email notification; any potential winner who does not respond within the foregoing timeframe will be disqualified, and Kith will randomly select another potential winner from among all remaining eligible entries. Potential winners must comply with all terms and conditions of these Official Rules. Winning a prize is contingent upon fulfilling all requirements. Potential winners may be required to sign and return an Affidavit of Eligibility and Release to claim the prize and become an official winner (&#x201C;Official Winner&#x201D;). If a potential winner fails to sign and return the Affidavit of Eligibility and Release, if required, or is otherwise not in compliance with these Official Rules, such potential winner may be disqualified and will therefore forfeit the prize. If a potential winner is disqualified for any reason, Sponsor may award the prize to an alternate potential winner by random drawing from among all remaining eligible entries received. Odds of winning depend on the total number of eligible entries received. &#xA0; 5. PRIZES: Two (2) Official Winners will be selected to receive two (2) different prizes. The first Official Winner, i.e., the first name selected during the Drawing, will receive an exclusive, limited edition Kith leather jacket with an Approximate Retail Value (&#x201C;ARV&#x201D;) of $1,350. The second Official Winner, i.e., the second name selected during the Drawing, will receive the grand prize (&#x201C;Grand Prize&#x201D;), consisting of two (2) tickets to the FIFA World Cup 2026&#x2122; Final match (the &#x201C;Game&#x201D;), which is scheduled to take place on or around July 19, 2026, at MetLife Stadium in East Rutherford, New Jersey. The ARV for the Grand Prize is $11,150. The Grand Prize consists solely of two (2) tickets to the Game and does not include airfare, hotel accommodations, transportation to and from the airport or transportation to and from the Game, meals, or any other expenses incurred in connection with Game attendance. The Official Winner must download the FIFA World Cup 2026&#x2122; mobile app in order to receive the Grand Prize from Sponsor approximately twenty-four (24) hours prior to the Game.&#xA0; Use of the Grand Prize is subject in all respects to the FIFA policies and Stadium Code of Conduct, available at: <a data-fr-linked="true" href="https://www.fifa.com/en/tournaments/mens/worldcup/canadamexicousa2026/articles/legal-documents">https://www.fifa.com/en/tournaments/mens/worldcup/canadamexicousa2026/articles/legal-documents</a>). Entrants who provide their email address will automatically be enrolled to receive emails from or on behalf of Sponsor and can opt out of receiving future emails at any time by following the directions provided in such emails. 8. GENERAL CONDITIONS: The Released Parties (as defined below) are not responsible for any errors or difficulties of any kind, whether human, mechanical, electronic, computer, network, typographical, printing or otherwise, relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prizes, or in any Sweepstakes-related materials. The Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. The Released Parties are not responsible for injury or damage to participants (including, without limitation, to any participant&#x2019;s personal property), related to or resulting from participating in this Sweepstakes. Sponsor reserves the right to cancel or modify the Sweepstakes if fraud, technical failures or any other factor impairs the integrity of the Sweepstakes, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes at random from among all non-suspect, eligible entries received up to the time of the impairment or as otherwise deemed fair and appropriate by Sponsor. Sponsor reserves the right in its sole discretion to disqualify any individual found to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner and void all associated entries. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including, without limitation, attorneys&#x2019; fees) from any such person to the fullest extent permitted by law. Sponsor&#x2019;s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.&#xA0; 9. RELEASE/LIMITS OF LIABILITY: By entering this Sweepstakes, all participants (including the Official Winners) agree to release and hold harmless Sponsor, Adidas and FIFA, and their respective parents, affiliates, subsidiaries, and each of their respective officers, directors, shareholders, agents, employees, successors, assigns and all others associated with the development and execution of this Sweepstakes (collectively, &#x201C;Released Parties&#x201D;) from and against any losses, damages, rights, claims or causes of action of any kind arising, in whole or in part, directly or indirectly, out of participation in the Sweepstakes or resulting directly or indirectly, from acceptance, possession, use, or misuse of the prizes awarded in connection with the Sweepstakes (including any travel or activity related thereto or cancellation or rescheduling of the Game), including without limitation personal injury, death and/or property damage, as well as claims based on publicity rights, defamation and/or invasion of privacy. 10. DISPUTES: Each entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or the prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Southern District of New York or the appropriate New York State Court located in New York, New York; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes and in no event will entrant be permitted to obtain attorneys&#x2019; fees or other legal costs; and (iii) under no circumstances will entrants be permitted to obtain awards for and entrants hereby waive all rights to claim punitive, incidental, indirect, special and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
